Terms and Conditions
Nexwik Private Limited offers a standard service menu to retailers, distributors and master distributors. That menu covers AEPS Withdrawal , BBPS Offline, BBPS Online, Recharge, DTH, Credit Card, Part Payment, FASTag, LIC, Insurance, Tata Power Part Payment, CMS, Travel, QR Collection, Vehicle Insurance, IGL Commercial and Aadhaar Pay. Wallet Top-Up, Fund Request and Fund Request Online are premium tools and are switched on only for partners we have marked as premium.
Opening this web application, signing in, or sending a transaction means you accept the terms below. They control your use of the application and of every service reached through it. Read them before you continue. If any term is not acceptable, leave the application and do not transact.
Introduction
I. These terms of use are between Nexwik Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in the State of Delhi (called “Nexwik”, “we” or “the platform operator”), and you (called the “partner” when you are a retailer, distributor or master distributor, and the “customer” when you are the person at the counter or on the app who asks for a service).
II. The moment you install, open or use any part of the Nexwik application, panel or related software, you are legally bound by these terms and you accept them in full. If you do not accept them, you have no right to use the panel or to pass it on to a shop, a staff member or a customer.
III. If you click accept for a shop, firm or company, you do so for that entity. If you are not acting for an entity, you do so for yourself. By accepting, you confirm that:
- you have the authority needed to bind yourself or that entity, and to carry out what these terms require;
- you already hold every registration, shop licence and local permission that your own business needs in order to offer the live tiles to customers;
- where a board, partner or proprietor approval is required on your side, that approval has been given;
- signing or using the panel does not break a court order, a material contract, or a default that would arise if notice were given or time passed.
IV. A later onboarding form, limit letter or rate card may use a shorter title for this document. A different title does not weaken these terms. If a signed rate card conflicts with a fee figure on the panel, the rate card prevails for that partner only.
1. Meanings
In these terms, whether the word is singular or plural:
1.1 “Terms” means this document, any annex we publish with it, and any onboarding or limit letter that refers back to it. Licence limits on the panel are part of these terms.
1.2 “Customer” means the end user who asks for a recharge, a bill payment, a cash-out, a booking or a collection at a partner outlet, or who uses a Nexwik channel we have opened for that purpose.
1.3 “Nexwik” means Nexwik Private Limited, the company that operates the panel and the related software.
1.4 “Service” means the panel, the web application, the mobile build and the processing path that lets a partner or a customer pay, collect or settle through a channel we have enabled.
1.5 “Partner” means a retailer, distributor or master distributor who is allowed to offer the Service to customers. A premium partner is a partner for whom wallet top-up and fund-request tools have been switched on.
1.6 “Transaction” means a genuine payment, payout, collection or settlement that is sent on the Service. It may move over the internet, a shop device, a mobile application or another network we support, and it may, where the product allows, be started by showing a card or another accepted instrument. A transaction that is fake, duplicated on purpose, or outside the product rules is not a Transaction for the purpose of any credit.
1.7 “Bank” means the banking partner, card network, UPI app, BBPS operating unit or remittance correspondent whose system actually moves the money and is compatible with the Service.
2. How the relationship starts
2.1 Nexwik is entitled, under its memorandum, to carry on recharge and utility-bill agency, payment facilitation and payout agency through banks and authorised providers, travel booking, and the software platforms used for those activities, and to appoint distributors, retailers and agents. Enabling a partner is part of that business. It is not a promise that every tile will stay open on every day.
2.2 Banks and billers honour a Transaction only on the conditions they have set with us or with the operating unit. A green screen on the panel is not a substitute for the bank or biller reference.
2.3 Text, layout, s, marks, sound, images and software inside the Service belong to Nexwik or to the person who licensed that piece to us. You receive no ownership in them.
2.4 These terms bind you from the earlier of the time you accept them and the time you first use the Service. They continue until we or you end the relationship. Clauses on liability, indemnity, records, intellectual property and governing law survive the ending.
3. Processing rules
3.1 We are not obliged to put through any particular Transaction. When you submit a request, you are asking us to attempt that Transaction for you, and you are giving us permission to pass the instruction to the Bank or biller. We may accept or decline. If we decline and a debit has to be returned, we return it unless the law or the Bank forbids the return. Accepting a request does not stop us from stopping it later if a risk flag appears.
3.2 We may change, pause or close a tile, a route or the whole panel, including with short notice, where a bank, NPCI, a BBPS operating unit, a travel supplier or the law requires it, or where fraud or downtime makes the tile unsafe.
3.3 You will not disturb the working of the panel or the software inside it. We may review logs, device IDs and transaction patterns at any time.
3.4 We do not promise a clock time for credit, even if a help page shows a usual window. We try to finish accepted Transactions inside the window agreed for that product. A Transaction may still be held, delayed or reversed if identity does not match, if a mandatory field is missing, or if a rule of the Bank or of law requires the hold.
3.5 Without limiting the previous clause, we may refuse or cancel where we cannot identify a party, where you do not give the data needed to finish the Transaction, or where we have a fair reason to think the Service is being used against these terms or against law.
3.6 We may freeze a Transaction that looks illegal, unauthorised or out of pattern. We may tell you, but we do not have to tell you before the freeze if telling you would hurt an investigation. You accept this right, and you will not hold us responsible for a hold that was started on a reasonable suspicion, provided we release or reject it once the check is over.
3.7 If we followed an instruction that later turned out to be wrong or dishonest, we are not liable for that Transaction. We will still make a reasonable effort to help the Bank or biller trace it.
4. What you agree to do
4.1 You agree, among other things, to:
- follow these terms and any product note shown on the tile you use;
- pay fees, taxes and chargebacks that apply to the tile, and you allow us to deduct them from a payable or a wallet position without a separate demand;
- leave the software as it is: no copy of the source, no modification, no reverse engineering, unless a statute forces that step or we have agreed in writing;
- not switch off or bypass a security control;
- not scan, probe or load-test the panel or a network joined to it;
- not interrupt another partner’s session or a Transaction already in flight;
- give true and current data on the parties, show identity proof when asked, and update a wrong consumer number or account before you confirm;
- not try to pull back a Transaction that has already been accepted for processing;
- install a panel update when we mark it as required for security or for a live tile.
4.2 Content you type, upload or show on the panel is yours to answer for. We are not liable for that content, or for a change you make to the Service. Do not upload material that belongs to someone else unless you have the right to use it.
4.3 You carry the result of the way you use the Service. We are not liable for indirect, special or punitive loss, or for loss caused only because the panel was unavailable, except where a statute does not allow that exclusion. If you use the Service against these terms, you will cover the direct loss that use causes us.
4.4 We may, but need not, review, flag, filter or remove information a user places on the Service. Doing so, or not doing so, does not by itself create a liability.
5. What a partner may do
5.1 We give the partner a free, revocable, non-exclusive right, which cannot be passed on except as this section allows, to offer the live tiles to customers on terms that are at least as tight as these terms.
5.2 That right includes, and is limited to: demonstrating and supporting the Service; letting customers use it under these terms; connecting the partner’s own billing screen to an API or kit if we have issued one (the API itself stays ours); and passing on a correction or upgrade we release, only so far as the outlet needs it to stay current.
5.3 A distributor may introduce a retailer only inside the geography and the product list we have approved. The distributor remains answerable for a retailer it has on-boarded until we have accepted that retailer on our own record.
6. What a customer may do
6.1 We give the customer a free, revocable, non-exclusive right to open the Service for a genuine personal or business payment. The customer may use the Service as specified, download a build if the product offers a download, view it on a device screen, start it, and send a Transaction. The customer may not resell access.
7. Other people’s systems
7.1 A tile may depend on a bank switch, a BBPS operating unit, NPCI, a biller, an insurer, a power utility, a travel supplier or a remittance correspondent. We do not control their uptime, their bill data or their decision to accept a payment. A tile being visible is not our endorsement of that third party’s product beyond the processing path we have enabled.
7.2 We give no warranty about content or availability that comes only from a third party.
8. Uses that are not allowed
8.1 You will not sell, rent, share or host the panel for a third party except in the way these terms or a written appointment allow. You will not automate the Service to serve outsiders, and you will not copy, modify or extract source code unless the law requires it or we have agreed in writing. You will not assign your login rights without our written consent.
8.2 Unless we have agreed otherwise, you have no right to market our software as your own product, to translate or redesign it, or to build a derivative of it.
8.3 Source code is not included in the right we give you.
8.4 If you break this section or any other term and you do not stop and undo the breach within the time we set — not more than three business days — we may revoke the right to use the panel at once.
8.5 You will not use a tile for a purpose the bank or the scheme has barred, for layering of crime proceeds, or for a customer whose identity you have not matched to the instruction. Aadhaar-based tiles may be used only for the authentication the scheme allows, and you will not store Aadhaar number or biometric data on a personal phone or a side register.
9. No performance promise, and the limit on claims
9.1 We do not warrant the panel’s functions beyond what is written here. In particular we do not warrant that data returned by a biller is accurate, that the Service will be free of error or interruption, or that a stated commercial result will follow.
9.2 You accept that the Service is to be used on devices and in the way the product note describes; that timings we publish are typical, not guaranteed; that we do not promise a minimum number of updates; and that we work to reduce errors without promising that none will occur.
9.3 We are not liable for indirect or consequential loss. This limit does not apply to fraud or wilful misconduct, to a liability that a statute refuses to let us exclude, or to a data-protection breach for which the law fixes responsibility. Where an unauthorised electronic transaction is covered by a Reserve Bank of India customer-protection direction that applies to the Bank or to the authorised provider, responsibility for that transaction is shared as that direction requires, and not by a private cap in this clause.
10. How long this lasts, and when it stops
10.1 Your right to use the Service lasts until you stop using it under a closure we have accepted, until we close the Service or the document it rests on, until we end the right because you failed a term, or until a fixed onboarding period runs out.
10.2 We may suspend or end the right without liability where we need to follow the law, where we need to stop a loss of data, or where your fault is pulling the Service down.
10.3 We may also refuse or discontinue access, for a time or for good, where the risk, a partner-bank instruction or a repeated breach makes that necessary. Where the law allows notice, we will give it. A discontinuance made on those grounds does not by itself create a damages claim.
10.4 You allow us to check the truth of information you gave, including by asking a telecom or KYC provider for a matching record. You instruct that provider to answer our request and, if we ask, to share a certified copy.
10.5 We may send service messages by SMS, notification or email about a change, a downtime or a feature. Promotional messages are sent only where consent is in place, and you can opt out of those without losing transactional alerts. We do not warrant a marketing message.
10.6 We may set a limit, a fee or a tax on a tile, with prior notice on the panel or by email, as the law requires for that change.
10.7 We may hold a Transaction for suspected fraud, a regulatory ask or a security check. We will tell you when we are allowed to. Held funds are released or rejected within a reasonable period once the check ends, and in any case inside the timeline in the Refund and Cancellation Policy unless a law-enforcement hold says otherwise.
10.8 We may investigate and, where needed, share a record with a law-enforcement agency. Not using a right on one occasion is not a waiver of that right.
11. Other points
11.1 We may revise these terms. Before a material change we will post the new text on the website and, where we have your email, send a note. Publication on www.booknearby.in is enough notice. Continuing to transact after the effective date is acceptance.
11.2 A waiver or a change is valid only if it is in writing from us.
11.3 You may not transfer these terms without our prior written consent. We may assign them to a group company or to a buyer of the business, and we will tell you if we do.
11.4 Delay in using a remedy is not a waiver.
12. Law and courts
These terms are governed by the laws of India. A dispute about the terms, the panel or a service on it is subject to the exclusive jurisdiction of the courts at New Delhi, except where a consumer statute gives you a different forum. You accept that venue. We may still seek an interim or injunctive order from any court that can protect our software, marks or confidential information.
13. Grievance
A complaint about a transaction, a charge, content on the panel, or a breach of these terms should go to the grievance officer named below, in writing or by email from the registered address. Desk hours are 9:30 a.m. to 6:30 p.m. on business days.
14. How long a reply takes
Time needed depends on the check involved. As a working standard:
- first reply to a or complaint — within 24 hours;
- a follow-up on the same ticket — within 48 hours;
- escalation to the nodal contact — within 10 working days;
- escalation to the grievance officer — within 15 working days;
- credit of a confirmed failed-transaction refund to the original bank account, card or UPI source — within 7 working days of confirmation, subject to the issuing bank.
Move a ticket up only after the level above has missed its window. That keeps the same case from being opened three times.
